This booklet will show you how to get signed up on the platform, so that you can generate and receive exemption certs for yourself, your employer, or any other organization that deals with exemption cert compliance.

Once you've registered, we have other booklets that will show you how to create organizations, generate certs, manage certs received, and other functions across the platform.

Make your way to www.XMPT.us.

Once you get there, press the Sign Up (purple) button in the top right corner.

After pressing the "Sign up" button, enter your name (first and last separately), email address and create a password.

The password must be at least 8 digits, and have a combination of letters and numbers. Passwords that don't meet the requirements will be highlighted when attempting to complete the registration.

Once you submit your email address and your password, you'll will be returned to the login screen and see a confirmation screen at the top. You're on your way!

NOTE: Close the browser, and use the link provided in the confirmation email to enter the platform.

The Nexus Map

One of the most challenging elements of sales and use tax is nexus.

The Nexus Map for Cert Delivery visually displays the status of nexus across different states, helping organizations quickly identify which states require action when managing exemption certificates.

• Red: States highlighted in red, like Texas, indicate that additional attention is needed. This indicator has been triggered by and external integration that indicates that there are employees in that jurisdiction, or that the transaction volumes processed have exceeded the allowable limits to not register. Until the state is colored purple or green, you will not be able to generate exemptions for those states.

• Purple: States in purple, such as California and Pennsylvania, indicate that the organization has a physical nexus—meaning there is a registered physical addres

Your name was collected when you registered for the platform.

If you wish to edit your name, click on the profile icon on the top right, and select Profile Setting to make adjustments. First and last are required. Middle name or initial will be utilized in signatures if included.

Optional / Mandatory to create personal certs

Users who want to create personal certs (not certs on behalf of an organization) can do so by adding phone numbers, addresses, tax ID numbers, and the reason for their entitlements. To add details to your profile, use the horizontal navigation bar to select the items you want to add, press the + Add button on the top right. enter the information and press the + Add button at the bottom. The new item will appear on the tab.

To edit or delete items, press the actions button *** and edit your items.

Users can create and join multiple organizations (details in the organization section of this guide).

If you're already a member of the platform, you will see a notification on top of your user profile icon on the top right. When you click on your initials, you'll notice the indicator next to "Invitations". To accept the invitation click on the green check mark. To reject the invitation, click on the red X.

If you have not registered on the platform previously, or if you are joining using a different email address than the one used to establish an existing account, you will receive an email invitation.

What is an Organization?

Organizations are the heart and soul of XMPT. Whether your organization is focused on buying, selling, or both, XMPT provides simplified transparency and consistency to exemption certificate management.

Organizations are any group of individuals that are connected through a legal entity. It could be a school board, a government agency, or a multi-national conglomerate... XMPT works for all of them.

Within an organization, you can create certs for your suppliers, collect certs from your customers... or both.

The following pages describe how to create and manage an organization.

After creating your account, the first time you log into XMPT you will be lead automatically through the organization creation process.

If you were invited to join an organization on XMPT, you will be automatically added to that organization.

IMPORTANT: If you have been invited to join XMPT and are asked to create an organization, be sure that you are using the email address that you were invited with. You must register with the email address used for the invitation.

Organizations with premium access can create and manage certificates for multiple entities.

To create a new organization on the platform, press the + Add Organization button at the bottom of the organizational navigation pane.

Pressing the button at the bottom will launch the organization creation process outlined on the following pages.

The first step in creating an organization is naming it.

There are 2 data elements to enter:

The first is the name of the organization you want to use. This should be the commonly referred to name of the organization or company. This is an "informal" reference.

The second entry is for the legal entity name. This is the more formal name that will be used on documentation, and match the legal name of the group.

When finished, press the Next button to advance to step #2.

Once the names have been saved, the next screen collects the reason (or reasons) that you are entitled to deliver tax exemption documentation.

IMPORTANT: The platforms AI is driven in part by the reason(s) you provide. Most organizations have only one reason, but it's possible that for some organizations two or more is appropriate.

Reasons can be edited at any time in the future by an organizational Owner.

When finished, press the Next button to advance to step #3.

The final step in the organization creation process is the collection of organizational details focused on items often required to complete exemption certificates.

All of the items are mandatory, but can be edited through the organization menus as necessary after the creation of the organization.

After you have completed your data entry, press Complete button and you will be taken to the home page.

Optional for a Seller Organizations

On this page, Tax Identification Numbers, or TINs, are stored. Existing TINs are listed on the page when selected. If the list is long, a particular TIN can be found using the search bar at the top.

To add a new TIN, press the purple + Add button on the top left of the panel. As you can see in the picture below, you can select either Federal or State level TINs. At the state level, there are several options for the type of identification number being entered.

Note that entering TINs here will automate their inclusion during the creation of certs, assuming the type that has been entered on this screen matches the TIN type of the form being created.

Adding locations in XMPT will establish physical nexus for purposes of creating exemptions in that jurisdiction. To document the location, it should be added to XMPT through the Locations tab by pressing the + Add button on the top right.

To edit a location, press the ``````* button on the right of the page to open the editing window.

Mandatory fields for an organization

This page will dictate how the organization is viewed within the platform, as well as what will be presented on certificates created within XMPT.

Organizations must have a name and an email address.

The organization name will be used internally. As you can see from the picture above, "My Organization" is the organization name, which can also be seen in the selection box next to the X in the top left corner.

The legal entity name will be used for all documents created for the organization.

On this page, phone numbers are stored. The most important aspect of this page is the selection of a default phone number, which will be used for cert creation purposes.

The initial phone number was collected during the automated organizational creation. If that number needs to be revised , select the three dots *** under Actions and revise.

If the existing number remains valid, but you'd like to add another number to use on certs, you can do so by selecting the purple + Add button and entering the information for the new number.

Reasons (a.k.a. why are you exempt?)

XMPT's AI uses the reasons stored for your organization to refine the user experience and ensure that the documentation being created is valid. The system matches the reasons selected with the available exemptions in a particular jurisdiction.

Organizations can add multiple reasons if they participate in more than one type of exempt activity.

To add reasons, press the + Add button on the top right, select the appropriate reason from the dropdown, and save the additional reason to the profile.

Being digital, XMPT can automate the process of requesting renewals. Once Organization Details is selected on the left navigation pane, use the sub-navigation located below the organization name to reach the renewal page.

To create an automated reminder, press the + Add Notification button.

Once the popup screen appears, enter the number of days before the expiration you'd like a reminder sent to the email associated with the expiring cert.

You can add as many notifications as you'd like.

The system will automatically send the notifications daily.

If there are no renewal notification rules listed, the system sends no automated reminders.

The integration sub-menu under Organization / Details reveals two types of organizational integration options: system integrations and code for embedding XMPT into other applications.

Integrations

The integration page enables organizations to automatically connect to any of their other commercial applications, including ERP's, tax engines, procurement systems, e-commerce platforms and marketplaces. Each organization can have multiple integrations. To add and integration, users need to press the button and add the necessary information in the pop-up window.

Every time a new organization is created, we automatically generate the code necessary to embed our cert functionality on their E-commerce, procurement, and B2B infrastructures.

This page provides a summary of the members of an organization. Member details and privileges can be edited by pressing on the action icon *** next to the individual name.

To invite new members, press the "Invite" button and complete the invitation details in the pop-up window.

On the pop-up window, enter the email address and title of the individual you want to invite to your organization. Titles can be edited, so there is no need to stress over specifics.

You will also have to select a "role" for that person.

Roles determine the specific functionality within the application, defined as follows:

Individual users can join an unlimited number of organizations. To navigate between multiple organizations, click on the currently active organization near the top on the left navigation bar.

In the picture above, the user is only a member of one organization (named My Organization).

You can begin the process of creating a cert by pressing one of the Deliver Cert button located on the top navigation bar.

After pressing the Deliver Cert button, you will arrive at the page below, where you can select the beneficiary of the sales tax exemption. The list provided will include all of the organizations that you have authorization to generate certs. This list is unusually long, for demonstration purposes.

NOTE: If user is a member of only one organization, the AI will select the Buyer and the user will not see this screen.

If the organization selected has nexus in multiple jurisdictions (either physical or economic nexus), you will need to select the location for which the cert is being created. As noted below, physical nexus will appear with an address, while economic nexus will list the state, but no address.

In this step, you will identify the "seller" that you are creating the cert for. The easiest way to accomplish this is to search our database and select the seller by clicking on their name.

If you can not locate the seller, or the name listed doesn't align with the name / address of the seller you're looking for, try the map (next page).

Search the map and locate the seller. If you're using a mobile device with GPS "enabled", the map will automatically show you registered businesses nearby.

When you have identified the appropriate seller, click on the pin located on the map (the red arrow below is pointed at the pin on the map). You will see the name and address of the seller appear above the map.

When selected, press Next Step to proceed.

If you could not find the seller in the database or on the map, you can enter the details by selecting "enter" on the horizontal navigation

If the organizations profile contains more than one reason, select the specific reason for this particular exemption certificate.

In circumstances where there are multiple potential paths to completing the appropriate form, the system AI will request further clarification. These options are referred to as qualifiers.

When the appropriate qualifier is selected, the system will proceed to collecting the necessary data to complete the cert.

Click on the appropriate qualifier to proceed. If you do not see a qualifier that is appropriate, press <- Prev Step and select another reason.

Details

At the point, the system has identified the form and the relevant data necessary to provide a complete and accurate document.

It is likely that some of the information will be pre-populated from the profiles within the system. That information can be overwritten if it has expired or been replaced (corrections should be made to the organizational profile to automate the completion in the future).

Once all of the information has been entered, press the Next button to proceed to the final step that issues the cert.

The Confirmation

The confirmation is the final step.

The user is presented with a summary of all of the responses that will be used to generate the exemption certificate, as well as the confirmation statement for that specific form.

IMPORTANT NOTE

By pressing the Confirm button, the user acknowledges that all of the information on that page/the cert is accurate to the best of the knowledge. The cert is being accepted by the seller in "good faith", and that faith is based in part on the legally binding confirmation statement on this page.

To see the cert, click on the document near the bottom of the screen.

Once you're done, press the Close button, upon which you will be delivered to the Certificates Presented page.

The cert will not appear on the screen.

If the seller is a member of our platform (and likely requested you provide the cert using XMPT), your cert has been delivered automatically. Your work here is done.

If you need to provide the cert to sellers via email, save a copy for yourself, or just about anything else... go to the next page of the guide.

Once you hit the the Close button you will be taken to a listing of all certs you've presented to sellers.

You'll see on the summary a column labeled "Actions", and below that there will be three dots in line for each cert the *** . Pressing those dots will open the window below.

Here you can utilize several methods to share the cert. The QR code and the link to the cert can copied and pasted anywhere (purchase orders, emails, procurement portals).

Users can also email the document to anyone. Simply press the the > Send Email button at the top, and the form below allows you to enter the addresses of everyone that needs a copy.

Reissue the Cert

Maybe the most efficient element of being a digital cert platform is the ability to reissue expiring certs with the click of a button.

If none of the details related to the cert have changed (the buyer, the seller, the reason for the exemption, etc.), and the only issue is that the existing cert has or will expire, the system will reissue the cert and reset the expiration.

For single use certificates, reissuing the prior cert will result in another single use document. To change from single-use to blanket (or vice-versa), the buyer must create a new exemption certificate.

If any of the parameters have changed, including the possibility of an updated form issued by the tax jurisdiction(s) covered by the cert, the buyer will need to issue a new certificate by following the standard cert creation processes.

The Certs Delivered page provides a list for all certificates of the organization. If you are a member of multiple organizations, be sure to select the correct organization on the top of the left navigation pane.

To search for certs or group them for reporting, use the filters available on the top right of the report.

On occasion, users encounter an error message that looks something like this:

When this happens, it is most likely due to there being no valid reason for the certificate being requested. If you believe this is a mistake, it's important that you ensure that your organizational profile includes:

• The appropriate reason you're create the exemption
• The organization has documented nexus in the state you're attempting to create the certificate in, either physical (with a location listed in XMPT), or economic nexus, when a TIN is present in XMPT and there is no physical address in that jurisdiction.

In recent years, there has been a growing trend toward states issuing an exemption document that can be copied and shared with sellers. The availability and utilization of these documents varies from state to state.

When you have been issued an exemption certificate from a state, it can be uploaded to XMPT and forwarded to sellers, regardless of their utilization of the XMPT platform.

There are numerous benefits that come from using XMPT to deliver state issued certs. Beyond the efficiency of digitally delivering the documents, using XMPT to deliver state-issued certs provides irrefutable evidence to auditors as to the date, reason, and counter-party of all exempt transactions.

To upload a cert, select the State-issued certificate page in the navigation menu under your organization.

To deliver a state-issued cert to a seller, begin as you would for any cert by pressing the Deliver Cert button in the header bar. From there, select the location (which needs to from the state that issued the cert) and the seller to whom you're presenting the document.

When you arrive at the Qualifer page, select the option related to forwarding a state-issued cert.

Once you've selected that, you'll proceed to a draft summary of the certificate, which you can review and approve.

Once you have confirmed the accuracy of the document, and closed the final cert generation screen, you will be returned to the Certs Delivered page.

If the seller is a registered user of XMPT, they will have the document in their Cert Received listing. If they

Certs in XMPT can be received in 2 ways: By the buyer using the system to generate the certificates for the seller, and by the seller uploading documents they have received from the buyer.

Regardless of the method used to create and deliver the cert, all certs within the system can be viewed by pressing "Certs Received" on the left navigation.

To review the specifics of any individual cert, press the three buttons (***) under the action header. The specifics for the cert, as well as the ability to share the document via email and open it on the desktop are included.

When buyers create certs using the XMPT platform, those certs are automatically delivered to the Seller. If the Seller is using an integrated tax engine, the cert will be applied, and the appropriate reduction in taxes applied to the appropriate transaction(s).

If buyers suggest that they have delivered a cert to you from within the platform and you do not see it in your "Certs Received", you should ask the buyer to email you a copy of the cert. Upon receipt, you should confirm:

• The legal entity they used as the seller correct?
• Is the address they used for the seller correct?
• Is the date of the cert recent?

Certs that have been delivered using the system do not have an up arrow icon next to the Buyer on the Certs Received summary. For the picture below, the second, fourth, and fifth certs listed (for New York and Massachusetts) were generated using

The XMPT platform automatically calculates expiration periods for certificate documentation.

For those states that do not specify the expiration, our system attaches a 48-month expiration from the date of creation (the valid from date). The system separates exemption certs into two groups for expiration management: resale and other.

The process for revising the expiration date varies depending on how the cert was created and added to XMPT. When certs are uploaded to the system by the seller, the seller can override the system suggestion and enter any expiration date during the upload process, or by editing the

When you select "Certs Received" on the left navigation pane, a listing of certs will appear in the main body of the browser. When that appears, the sub-menu under the page heading displays the following status groupings:

• All: every cert, regardless of status appears on the list
• Approved: certs that are currently entitled to a tax reduction
• Pending: certs awaiting final approval
• Rejected: certs that the seller will not accept
• Expired: certs that have passed their expiration date

The status of each certificate is listed on the Certificates Received summary as you can see below:

For most tax engine integrations, the creation of a cert automatically generates a tax exemption rule that includes:

• A way to identify the buyer in the tax calculation process
• The jurisdiction(s) to which the cert applies
• The reason for the exemption
• The type of tax(es) covered by the exemption
• A start date - when the certificate should be applied to transactions
• An expiration date - when the cert should no longer be applied

Certificates received in XMPT will automatically update any existing certificate in the engine.

Exemption certificates generated using XMPT are not only delivered utilizing rules that are more accurate, but also require significantly less effort to create and manage. The automated system ensures that the certificates are the current version that comply with current tax regulations, reducing the chance of errors and simplifying the entire process.

That said, in certain cases, an existing physical copy of an exemption certificate must be uploaded to the system to ensure it is correctly applied to the tax calculation. To do this, sellers need to utilize the cert upload form detailed on the next page.

To access this form, users need to navigate to the "Certs Received" tab on the left navigation. Once selected, the page will display an Upload Certs button on the top right corner below the header.

Once the "Upload Cert" button has been pressed, this form will appear:

To successfully upload a cert, cells marked with an asterisk must be completed.

Whilst it is highly recommended for reporting simplicity that the same legal entity name be used for all certificates from the same company, it should be noted that the only way to ensure the exact replication of data elements in the cert is to accept only certs created within the platform.

When all of the data is entered, press `Save to load the form to XMPT.

Once saved, you will be returned to the Certificates received page, where you will see the new uploaded cert identified with the up arrow, awaiting review.

Once a cert has been received, it should be reviewed and either approved or rejected. The cert will remain in the pending status until it is changed.

Pending certs do not updated tax engines, and therefore no tax reduction will appear on future transactions until approved.

To change the status of the cert to either approved or rejected, select the appropriate status in the drop down box.

System generated cert data can not be edited, however recipients can adjust the effective and expiration dates, add a customer number (if appropriate), and make comments that will remain with the certificate record. To finalize the change, the reviewer must press the Save Changes button on the editing pop-up.

If there are errors on the form, it should be rejected and replaced by another form with corrected information.

Uploaded certs need to be reviewed and either approved or rejected. For organizations that want to automate the approval process, this can be done at an organizational level through your XMPT service representative.

The cert will remain in the pending status until it is changed.

Pending certs do not updated tax engines, and therefore no tax reduction will appear on future transactions until approved.

To review and approve a system cert, press the 3 button icon *** under the Actions header to open the review window.

Once opened, a reviewer can add comments, a customer number, or revise the Effective/Expiration dates by pressing the Edit Button at the top of the approval slider that appears on the right.

There are two settings that can be selected, but are rarely used:

• The RTL setting stands for Right-to-Left. This will reset the screens so that the navigation is on the right side. This box is usually left unchecked.

• The responsive font size option enables the fonts to adjust based on the settings of the device and browser your using. This box should generally be checked.
